SERVICE SPECIFIC TERMS FOR MICROSOFT HOSTED SHAREPOINT

These are the terms applicable to the use of our Microsoft Hosted SharePoint Service.

If you wish to select this Service, you must review and agree to these Service Specific Terms. If you confirm your agreement, these terms will immediately form part of your customer agreement with us and you will be entitled to receive the Service in accordance with the terms of that agreement as added to by the terms set out in this document. These Service Specific Terms should therefore be read in conjunction with our general Trading terms.

1. DEFINITIONS
1.1 The definitions set out in our Trading terms shall also apply to these Service Specific Terms.
1.2 In addition, we use the word Microsoft to mean Microsoft Ireland Operations Limited and its affiliates, being any legal entity that owns, is owned by, or that is under common ownership with that entity (where ownership means control of more than a 50% interest).
2. END USER AGREEMENT
2.1 you must not remove, modify or obscure any copyright, trade mark or other proprietary rights notices that are contained in or on the Service;
2.2 you must not reverse engineer, decompile, or disassemble the Service, except to the extent that such activity is expressly permitted by applicable law;
2.3 the software powering the Service is licensed by Microsoft and may only be used in accordance with the terms and conditions of your contract with Globe2, it is your responsibility to inform any individuals with access to the Service of this fact;
2.4 you must disclaim, to the extent permitted by applicable law, all warranties by us or Microsoft and any liability by us, Microsoft or its suppliers for any damages, whether direct, indirect, or consequential, arising from the Service;
2.5 technical support for the Service is provided by Globe2 Ltd and not Microsoft or its suppliers;
2.6 you must not do anything that would interfere with or diminish Microsoft’s (or its suppliers’) trade marks or trade names and must not engage in
the manufacture, use, distribution or transfer of counterfeit, pirated or illegal software;
2.7 use of the services implies your consent to its details being provided to Microsoft for audit purposes; and
2.8 Microsoft is a third party beneficiary of your contract with Globe2 Ltd, such that it will have the right to enforce the provisions of the contract and to verify your compliance to the terms of this agreement.

You must agree to these terms before being allowed to access or use the Service.

3. USAGE RESTRICTIONS
3.1 We offer various different storage options. You must select an option that allows sufficient storage capacity for anticipated usage of the Service. You must also comply with the server resource limit.
3.2 Once the Service is activated, you must keep usage under review and not at any time exceed the chosen storage capacity. If you do need additional capacity, you can upgrade the selected storage capacity by contacting support@globe2.net.
3.3 Your throughput must not exceed 500MB per month, unless you have purchased a throughput upgrade.
3.4 We may, but are not required to, impose controls to prevent the usage limits being exceeded. If the usage limits are exceeded you may:
3.4.1 not be able to access files stored on the Service; and
3.4.2 not benefit from any of the Service features.
We will not be responsible for any losses you may suffer as a result of being unable to store or recover data as a result of usage limits being exceeded.
3.5 Compliance with usage restrictions is calculated separately for each Customer.
4. UPGRADES
Various upgrades to the Service are available. Where you add an upgrade, your usage will continue to be governed by these Service Specific Terms.
5. FEES AND PAYMENT
5.1 The Fees will be charged as agreed with you when ordering the service.
5.2 If you exceed the relevant storage capacity limit, server resource limit or throughput limit in any month we reserve the right to charge additional Fees, being the difference between the Fees applicable to the package you selected and the Fees applicable to the least expensive package which would have provided sufficient storage capacity, server resource limit or throughput limit for your actual usage.
6. ARCHIVING, DATA STORAGE AND BACKUPS
The Service does not include archiving or backup services. You must therefore arrange your own back-up and archiving procedures, and we cannot accept and will not be liable for any loss or damage suffered as a result of any failure in our storage of any data.
